Client Services

JSV provides advice on U.S. law and cross-border transactions in three primary areas:

International General Counsel

JSV provides services to clients essentially as in-house counsel for international transactions, working with the client’s legal department and overseeing outside legal counsel.

In these engagements, JSV generally enters into monthly retainer arrangements with the client at a discounted hourly rate. The arrangement is tailored to the needs of the client, but generally involves weekly office hours at the client's office and additional availability for consultations with the client's legal personnel or with the client's business team as an outsourced in-house legal counsel.

The nature of the legal advice can range from specific topics of U.S. law, including corporate and securities law, intellectual property law, employment law and general contract law, and specific transactions, including corporate finance, commercial transactions, intellectual property licensing, strategic alliances and M&A.

International Transactions for Emerging Growth Companies

JSV advises Japanese emerging growth companies in various cross-border transactions, from venture capital financing and other corporate finance, joint ventures, strategic alliances and M&A to licensing transactions, acquisitions and other technology and intellectual property transfers to dispute resolution and litigation support. Practices areas include corporate and securities law, intellectual property licensing and strategy, labor issues and general contract matters.

For non-Japanese clients, JSV works with Japanese counsel in various cross-border transactions, from venture capital financing, joint ventures, strategic alliances and M&A to licensing transactions, acquisitions and other technology and intellectual property transfers.

Cross-Border Transactions for Venture Capitalists and Other Investors

JSV advises Japanese venture capitalists and financial institutions in various cross-border financing transactions, including venture capital financing and other corporate finance and fund formation matters, primarily offshore fund formation and private equity and venture capital fund investments.

For non-Japanese clients, JSV works with Japanese counsel in various cross-border financing transactions, including venture capital financing and other corporate finance and fund formation matters, primarily investor solicitation and structuring matters.

JSV utilizes a flexible fee structure. JSV’s standard fee structure is on a time charge basis. However, consistent with our philosophy to work with our clients as a strategy business partner, we often arrange other structures, including monthly retainer arrangements, fixed fee structures, equity-based compensation, deferred compensation and a combination of one or more of the foregoing arrangements
